1. Definitions

Welcome to Univacity, a comprehensive educational marketplace that connects students, parents, and educational institutions worldwide. By using our services, you agree to be bound by these Terms of Service ("Terms").

“Applicable Law” means any domestic or foreign law, rule, statute, subordinate legislation, regulation, by-law, order, ordinance, protocol, code, guideline, treaty, policy, notice, direction or judicial, arbitral, administrative, ministerial or departmental judgment, award, decree, treaty, directive, or other requirement or guideline published or in force at any time during the term of this Agreement which applies to or is otherwise intended to govern or regulate any person (including any Party), property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any Governmental or Regulatory Authority.

“Institutes” refers to educational institutions, organizations, or establishments that provide academic or professional training services. It includes schools, colleges, universities, training centers, or any other formal educational or training facility.

“Landlord” means an individual, entity, or property owner who rents or leases accommodation, real estate, or living spaces to tenants or users. Landlords are responsible for providing the rented property in a suitable condition, adhering to applicable laws and regulations, and managing the terms and conditions of the lease or rental agreement.

“Program” means any study program, language program, summer camp, or any similar offering, including, but not limited to, an academic program or a program specifically designed to transition international students (sometimes referred to as a pathway program) made available by a school. Partner institution or Third-Party Provider.

“Prospective Student” means a person searching for additional educational opportunities using the Univacity Platform directly to research and apply, or represented by a Recruitment Agency using the ApplyBoard Platform to submit Applications.

“Recruitment Agency/Partner” means a person who works at a business that helps prospective students with their international School Applications and immigration (depending on their country). They provide advice, support, and logistics for students seeking to study abroad.

“Scholarship provider” means an entity or organization that offers scholarships to prospective students. The provider can be an educational institution, a private organization, a government agency, or any other entity that sponsors and administers scholarship programs.

“Services” means all of our web-based applications, tools, functionality, and/or platforms or any other offering that we make available to the Users via the Univacity Platform or that you have subscribed to by way of contractual agreement with us, and are developed, operated, and maintained by us, accessible via http://www.univacity.com or another designated URL, and any ancillary products and services that we provide to you.

“Student” or “Prospective Student” means a person searching for additional educational opportunities using the Univacity Platform directly to research and apply, or represented by a Recruitment Partner using the Univacity Platform to submit Applications.

“Third-party provider” means a company contracted by a School to provide language and sometimes other educational modules.

“Users” or “user” means the user of the Univacity Platform, including, but not limited to, prospective students, all employees, representatives, consultants, contractors, or agents who are authorized by you to use the Univacity Platform for your benefit.

2. Introduction and Acceptance of Terms of Terms of Service

Welcome to Univacity, a comprehensive educational marketplace that connects students, parents, agencies, and educational institutions worldwide. By accessing or using the Univacity Platform, you agree to be bound by these Terms of Service (Terms) and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use the platform.

3. Eligibility

By creating an account and using the Univacity Platform, Users agree to comply with the eligibility requirements outlined in these Terms. Thus, Users of the Univacity Platform must:

  • Be at least 16 years of age or the age of majority in his/her jurisdiction, whichever is higher. By accessing or using the Univacity Platform, users affirm that they are 16 years of age or older;
  • Possess the legal capacity to enter into a binding agreement with Univacity and Users must not use the Univacity Platform if they are prohibited by applicable laws from receiving services based on location or other criteria;
  • If you are using Univacity on behalf of an organization, you must have the authority to bind that organization to these Terms. By registering, the user represents and warrants that they have such authority;
  • Users are responsible for ensuring ongoing compliance with eligibility requirements throughout their use of the Univacity Platform. Also, Users must promptly update their account information if there are any changes to their eligibility status;
  • Univacity may, at its sole discretion, request additional information or documentation to verify a user's eligibility and Univacity reserves the right to suspend or terminate accounts found to be in violation of the eligibility requirements;

4. Registration and User Accounts

To access certain services provided by Univacity, users may be required to create an account. By creating an account, users agree to:

  • Provide accurate, complete, and up-to-date information about the User;
  • Keep his/her/Account information confidential and secure; and
  • Notify Univacity immediately of any unauthorized use of the Account.

Users are responsible for maintaining the security of their account credentials and are advised not to share their passwords or allow others to access their accounts.

Users agree to keep their account information up-to-date and accurate. Univacity is not responsible for any issues arising from inaccurate or outdated account information.

Univacity may suspend or terminate inactive accounts. An account is considered inactive if there is no login activity for an extended period.

Univacity reserves the right to suspend or terminate user accounts found to be in violation of these Terms and other Terms of Service, including but not limited to fraudulent activity, misrepresentation, or breaches of security.

Users will be notified if their account is suspended or terminated, along with the reasons for such action.

Users may appeal a suspension or termination by contacting Univacity through [insert email address].

Users may deactivate their accounts at any time by following the provided account deactivation process.

Univacity retains user data in accordance with its Privacy Policy even after account deactivation.

Users may request the reactivation of a deactivated account by contacting Univacity through the provided channels and reactivation may be subject to verification and compliance with these Terms.

5. Services

Univacity provides a range of services to help Users find and apply for international education programs, secure accommodations, arrange travel, and more (collectively, "Services"). Univacity may also provide additional services from time to time. Univacity offers the following services, to wit

5.1. Programs

  • Eligibility: To use the program service, Users must be prospective students seeking an international education program.
  • Content: Univacity provides access to a comprehensive database of educational programs from institutions worldwide. Univacity sources program information directly from partner institutions, ensuring accuracy and up-to-date. However, the data and prices shown on the Univacity platform might be out of date. Thus, Univacity facilitates an Admission Program designed to assist prospective students in applying for educational programs offered by participating institutions through the Univacity Platform.
  • Prospective students may participate in the Admission Program to explore and apply to various educational programs listed on the Univacity Platform.
  • Prospective students are expected to adhere to the guidelines outlined by Univacity regarding the use of the Admission Program, including proper application procedures, compliance with applicable laws, and adherence to ethical standards.
  • Prospective students agree to follow the application procedures specified by the educational institutions participating in the Admission Program. This includes providing accurate and up-to-date information during the application process.
  • By utilizing the Admission Program, prospective students acknowledge their responsibility to engage respectfully and professionally with the application process and communicate with participating institutions through the platform.
  • Univacity emphasizes that admission decisions rest solely with the respective educational institutions. Decisions are at the discretion of these institutions, and Univacity plays no role in the decision-making process.
  • Univacity reserves the right to modify, suspend, or terminate the Admission Program. Participants, including prospective students, will be notified of significant changes.
  • Univacity manages applicant data in accordance with its Privacy Policy. Prospective students agree to the handling of their data as outlined in the Privacy Policy.
  • Prospective Student Responsibilities

    • Accurate Information: Prospective students are responsible for providing accurate and truthful information in their applications through the platform, including personal details, academic history, and any other required information.
    • Document Submission: Prospective students agree to submit any required documents and information requested by the participating educational institutions as part of the application process.
    • Communication: Prospective students agree to check their platform notifications and emails for communications from educational institutions regarding the status of their applications and any additional requirements.
  • Limitations of Liability

    • Admission Outcomes: Univacity is not liable for the admission outcomes or decisions made by the participating educational institutions. The decision-making process is solely the responsibility of the institutions.
    • Program Disruptions: Univacity is not liable for any disruptions or issues arising from the Admission Program, including technical glitches, downtime, or other unforeseen circumstances.
    • Third-Party Services: If third-party services are involved in the admission process, prospective students agree to comply with the terms of those services.

5.2. Tour

Univacity provides an Educational Tourism service, allowing users to explore and book short-term educational programs, including summer camps and specialized courses, offered by various educational institutions worldwide.

  • Eligibility: The User must be a prospective student seeking short-term educational programs or experiences.
  • Program Access: Users may access Educational Tourism features through the Univacity Platform to discover and book short-term programs. The availability of these programs is at the discretion of the participating educational institutions.
  • Program Information: While Univacity strives to provide accurate information about short-term programs, users acknowledge that program details, including schedules, costs, and availability, are subject to change and should be verified directly with the participating educational institutions.
  • Diverse Student Needs: Educational Tourism on Univacity is designed to cater to diverse student needs, offering a range of short-term programs that may include language courses, cultural exchanges, sports camps, and other specialized educational experiences.
  • Booking Process: Users agree to follow the designated booking procedures and guidelines when reserving a spot in a short-term program. This includes providing accurate information during the booking process.
  • Participating Institutions: Users understand that short-term programs are hosted by various educational institutions. Univacity is not responsible for the content, organization, or delivery of these programs.
  • User Responsibilities during Educational Tourism

    • Respectful Interaction: Users must engage in Educational Tourism activities in a respectful and culturally sensitive manner, considering the diversity of participants and host institutions.
    • Compliance with Guidelines: Users agree to comply with any guidelines or rules specified by Univacity or the participating educational institutions during the booking process and the actual short-term program.
    • Program Participation: Users are responsible for meeting any eligibility requirements or prerequisites set by the participating educational institutions for their chosen short-term programs.
    • Health and Safety: Users acknowledge that participation in short-term programs may involve physical activities, travel, or exposure to new environments. It is the user's responsibility to ensure they are physically and medically fit for the chosen program.
  • Program Modifications and Cancellations

    • Changes to Program Availability: Univacity reserves the right to modify, suspend, or terminate short-term programs at any time. Users will be notified of significant changes whenever possible.
    • Educational Institution Control: Participating institutions have control over the content, availability, and scheduling of their short-term programs. Univacity is not responsible for changes made by the participating institutions.
    • Cancellation Policies: Users are responsible for reviewing and adhering to the cancellation policies of the participating institutions for their booked short-term programs.
  • Limitations of Liability

    • Content Accuracy: Univacity is not responsible for the accuracy, completeness, or quality of content provided during Educational Tourism activities. Users should verify details directly with the participating educational institutions.
    • Program Changes: Univacity is not liable for changes in the schedule, content, or other aspects of short-term programs offered by participating institutions.
    • Third-Party Services: If third-party services are utilized during Educational Tourism activities, users agree to comply with the terms of those services.

5.3. Payment

Univacity provides a Payment service that simplifies cross-border payments. Users agree to pay all applicable fees associated with the direct payment of tuition fees, accommodation, and other expenses to international schools. Fee details, including amounts and payment terms, will be specified before Users access paid features.

  • Payment Methods: Univacity partners with reputable payment processors to ensure the safety and transparency of transactions. Thus, payments can be made using local payment options as facilitated by Univacity. Users must provide accurate and current payment information through the designated payment methods outlined on the Univacity platform.
  • Fees: Univacity may charge a nominal fee for processing payments. The fee structure will be displayed during the payment process. Univacity may also mark up the exchange rate.
  • Currency: All transactions are processed in the currency specified on the Univacity Platform. Users are responsible for any currency conversion fees that may apply.
  • Taxes: Users are responsible for any applicable taxes associated with their cross-border payments. The Univacity Platform may calculate and collect taxes where required by law.
  • Automatic Renewal: If a service involves a subscription or recurring payment, users acknowledge that it may automatically renew unless cancelled. Users are responsible for cancelling subscriptions through their account settings.
  • Refunds: Univacity may, at its discretion, offer refunds or credits for certain circumstances, such as service disruptions or errors related to the direct payment of tuition fees and other expenses. Refund requests must be submitted through the designated channels specified on the platform.
  • Non-refundable Fees: Some fees, such as application fees or one-time service charges, may be non-refundable. Users will be informed of the non-refundable nature of such fees before payment.
  • Payment Security: Univacity takes reasonable measures to secure cross-border payment transactions. However, users acknowledge that online transactions inherently carry some risks, and Univacity is not liable for any unauthorized access to payment information.
  • Third-Party Payment Processors:

    • Payment Processing: Univacity may use third-party payment processors to facilitate cross-border transactions. Users agree to comply with the terms and conditions of these processors.
    • Data Security: Users understand that payment information provided to third-party processors is subject to the processors' privacy and security policies. Univacity is not responsible for the handling of payment information by third-party processors.
  • Chargebacks and Disputes

    • Chargebacks: Users agree not to initiate chargebacks against Univacity without prior communication and attempt to resolve the issue. Chargebacks may result in the suspension or termination of services related to cross-border payments.
    • Dispute Resolution: In the event of payment-related disputes related to the direct payment of tuition fees and other expenses, users agree to contact Univacity to attempt resolution before escalating the matter to relevant authorities or payment processors.
  • Price Changes

    • Notification: Univacity reserves the right to change prices for paid services, including those associated with cross-border payments, at any time. Users will be notified of significant price changes in advance.
    • Renewal Rates: Price changes may apply to subscription renewals. Users will be informed of renewal rates before the renewal date.
  • Delinquent Accounts

    • Account Suspension: Univacity may suspend or terminate accounts with outstanding or delinquent payments related to cross-border transactions. Users will be notified of any payment issues and allowed to resolve them.
    • Collection Costs: Users agree to pay any costs associated with the collection of overdue payments.

5.4. Scholarship

Univacity provides a Scholarship service, designed to assist students in searching and applying for various scholarships globally. This service also allows organizations and businesses to offer scholarships transparently

  • Eligibility: To use the Scholarship service, users must be students actively seeking scholarships to support their international education.
  • Service Features:

    • Global Search and Application: The Scholarship service empowers students to search for and apply for a diverse range of scholarships worldwide.
    • Comprehensive Database: Access a comprehensive database of scholarships from various sources, including institutions, governments, and organizations.
    • Transparency in Offerings: Organizations and businesses can utilize the platform to openly and transparently offer scholarships, fostering an accessible environment for students.
  • Responsibilities:

    • Facilitator Role: Univacity acts as a facilitator for scholarship applications. The platform provides information and guidance on available scholarships.
    • Non-Influence on Selection: Univacity does not influence the selection process for scholarships. The final decision regarding scholarship awards rests entirely with the respective scholarship providers.
    • Information Accuracy: While Univacity strives to provide accurate information about scholarships, users understand that details, including eligibility criteria and application requirements, may change. Users are responsible for verifying information directly with scholarship providers.
  • User Obligations:

    • Accurate Information: Users agree to provide accurate and truthful information during the scholarship application process.
    • Compliance with Scholarship Providers: Users must adhere to the terms and conditions set by scholarship providers when applying for scholarships.
    • Verification of Eligibility: It is the responsibility of students to verify their eligibility for scholarships and ensure they meet the specified criteria.
  • Limitations of Liability:

    • Selection Decisions: Univacity is not liable for the selection decisions made by scholarship providers. The decision-making process is entirely at the discretion of the respective providers.
    • Changes in Scholarship Details: Univacity is not responsible for changes in scholarship details, including eligibility criteria and award amounts, made by scholarship providers.
    • Third-Party Services: If third-party services are involved in the scholarship application process, users agree to comply with the terms of those services.
  • Scholarship Provider Responsibilities

    • Accuracy of Information: Scholarship providers are responsible for providing accurate and up-to-date information about their scholarships, including eligibility criteria, application deadlines, and award amounts.
    • Selection Criteria Transparency: Scholarship providers must transparently communicate the selection criteria and process to applicants.
    • Notification: Scholarship providers agree to notify applicants of the status of their applications within a reasonable timeframe.
    • Compliance: Scholarship providers must comply with all applicable laws and regulations related to the offering and selection of scholarships.

5.5. Hostel/Accommodation

Univacity provides an Accommodation service, facilitating secure and convenient accommodation bookings near study institutions for a comfortable living experience from the get-go.

  • Eligibility: To use the Accommodation service, users must be students actively seeking accommodation near their study institutions.
  • Service Features: The Accommodation service offers a diverse selection of accommodation options, including homestays, apartments, and dormitories, situated near partner institutions worldwide.
  • Responsibilities:

    • Booking Agent Role: Univacity acts as a booking agent for accommodations. The Platform handles the booking process and provides support throughout the user's stay.
    • Accommodation Providers: The actual provision of accommodation is the responsibility of the respective property owners or managers.
  • Payment:

    • Escrow Services: Univacity serves as an Escrow for the initial payment of the accommodation.
    • Refund Policy: Univacity refund policy is in accordance with the Refund and Fees Policy set out herein under.
  • User Obligations:

    • Accurate Information: Users agree to provide accurate and truthful information during the accommodation booking process.
    • Payment Compliance: Users must comply with the payment terms and conditions specified by Univacity for accommodation bookings.
    • Feedback: Users are encouraged to provide feedback on their accommodation experience through designated channels on the platform.
  • Limitations of Liability:

    • Accommodation Quality: Univacity is not responsible for the quality or condition of accommodations provided by property owners or managers.
    • Disputes: Disputes related to the actual provision of accommodation should be resolved directly between users and accommodation providers.

5.6. Visa

Univacity streamlines the visa application process, providing guidance and facilitating connections with professional immigration agencies for a hassle-free experience.

  • Eligibility: To use the Visa service, users must be students requiring a visa for international study.
  • Service Features:

    • Comprehensive Information: The Visa service offers comprehensive information and guidance on visa requirements, application procedures, and documentation for various countries.
    • Directory of Immigration Agencies: Users can access a directory of reputable immigration agencies through the platform that can assist them with the visa application process.
  • Responsibilities:

    • Facilitator Role: Univacity acts as a facilitator for visa applications. The platform provides information, guidance, and connections with immigration agencies.
    • Non-Handling of Visa Applications: Univacity does not directly handle visa applications or guarantee visa approvals. The final decision regarding visa issuance rests with the respective immigration authorities.
  • Fees:

    • Service Fee: Univacity may charge a fee for providing visa guidance and connecting users with immigration agencies.
    • Transparent Fee Structure: The fee structure will be clearly displayed during the visa guidance process
  • User Obligations:

    • Accurate Information: Users agree to provide accurate and truthful information during the visa guidance and application process.
    • Compliance with Immigration Agencies: Users must comply with the terms and conditions set by immigration agencies when availing their services.
  • Limitations of Liability:

    • Visa Approval: Univacity does not guarantee visa approvals. The final decision rests with the respective immigration authorities.
    • Agency Services: Univacity is not responsible for the services provided by immigration agencies. Users should review and agree to the terms of service of the chosen immigration agency.

6. User Conduct

Responsibility and Lawful Use: Users agree to use the Univacity platform responsibly and lawfully, and to comply with all applicable laws and regulations.

Prohibited Actions:

  • Illegal, Harmful, or Offensive Content: Users agree not to post or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Malicious Software: Users agree not to transmit any material that contains software viruses, worms, Trojan horses, or other harmful code.
  • Server and Network Interference: Users agree not to interfere with or disrupt Univacity's servers or networks.
  • Unauthorized Access: Users agree not to attempt to gain unauthorized access to any part of Univacity or any other user's account.
  • Commercial Use: Users agree not to use Univacity for any commercial purpose or for any purpose other than the purpose for which it is intended.
  • Impersonation: Users agree not to use Univacity to impersonate any person or entity or to falsely state or otherwise misrepresent Univacity affiliation with a person or entity.

Consequences of Violation: Violation of these user conduct guidelines may result in the suspension or termination of the User account and legal action as deemed necessary.

Reporting Violations: Users are encouraged to report any violations of these guidelines to Univacity through designated channels.

Legal Compliance: Users are responsible for ensuring that their use of Univacity complies with all applicable laws and regulations.

Content Moderation: Univacity reserves the right to moderate and remove content that violates these user conduct guidelines or is deemed inappropriate.

Indemnification: Users agree to indemnify and hold Univacity harmless from any claims, damages, losses, or liabilities arising from users' violation of these user conduct guidelines.

Modification of Guidelines: Univacity reserves the right to modify these user conduct guidelines at any time. Users will be notified of significant changes.

7. Third-Party Services

Univacity may integrate third-party services, such as but not limited to payment processors, educational institutions, accommodation providers, and educational agencies. Users agree to comply with the terms of service of any third-party services utilised by the User.

8. Content Ownership

Univacity owns all intellectual property rights in the Univacity platform, including the content, software, and design. Users agree not to copy, modify, or distribute any Univacity intellectual property without our prior written consent.

9. User Content

Users may post or transmit content to Univacity ("User Content"). Users retain all rights to User Content, but Users grant Univacity a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with providing the Services. You agree that your User Content will comply with the User Conduct terms stipulated above.

10. Disclaimer of Warranties

Univacity provides its Services on an "as is" and "as available" basis. Univacity makes no warranties, express or implied, about the operation of Univacity or the information it contains. Users agree that your use of Univacity is at the user's sole risk.

11. Limitation of Liability

To the maximum extent permitted by law, Univacity shall not be liable for any damages arising out of the use of Univacity, including any direct, indirect, incidental, special, or consequential damages.

12. General Indemnification

Users agree to indemnify and hold Univacity harmless from any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of your use of Univacity or User violation of these Terms.

13. Termination

Univacity may terminate the User Account or access to Univacity at any time for any reason, with or without notice. Users may terminate its/her/his Account at any time by contacting Univacity. Upon termination of the Account, Users will no longer have access to the User Content.

14. Changes to Terms

Univacity may modify these Terms at any time. Univacity will notify Users of any changes by posting an updated version of these Terms on the Univacity platform. Users continued use of the Univacity platform after Univacity has posted the updated Terms will indicate agreement to the revised Terms.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of Univacity shall be resolved in accordance with the laws of the United Kingdom.
